I don’t know if it is in BAs bylaws, but I remember when, in the late 80s, Tandy Corp amended it’s bylaws to shield the members of the Board from personal responsibility, for their actions as members of the Board.

Remember, all this posturing about “personal responsibility” is for the Proles only. “JCs” must not be “burdened” with responsibility.
